1. ACCEPTANCE OF TERMS AND CONSENT
By accessing or using ProductionComms.com BETA, including all related services, software, applications, and websites (collectively, the "Services") provided by 2627147 Ontario Inc. ("Company"), a corporation incorporated under the laws of the Province of Ontario, Canada, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). Use of the Services is strictly conditional upon your acceptance of these Terms. You must affirmatively accept these Terms before joining any channel or using any feature of the Services. If you do not agree to every provision of these Terms, you must immediately discontinue all use of the Services.
2. BETA SERVICE — NO WARRANTY OF AVAILABILITY OR FITNESS
THE SERVICES ARE PROVIDED AS A FREE BETA PRODUCT. THE COMPANY MAKES ABSOLUTELY NO GUARANTEES REGARDING UPTIME, RELIABILITY, FUNCTIONALITY, DATA INTEGRITY, AUDIO QUALITY, SECURITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. THE SERVICES MAY BE MODIFIED, SUSPENDED, OR DISCONTINUED AT ANY TIME WITHOUT NOTICE OR LIABILITY. BETA FEATURES MAY CONTAIN BUGS, ERRORS, OR DEFECTS THAT COULD RESULT IN LOSS OF DATA, COMMUNICATIONS FAILURES, OR OTHER DISRUPTIONS. BY USING THIS FREE BETA SERVICE, YOU ACCEPT ALL RISKS ASSOCIATED WITH ITS USE.
3. CONSENT TO PUBLIC SHARING OF PERSONAL INFORMATION
BY USING THE SERVICES, YOU EXPRESSLY, VOLUNTARILY, AND IRREVOCABLY CONSENT TO THE PUBLIC DISCLOSURE OF ANY AND ALL PERSONAL INFORMATION YOU PROVIDE, WITHOUT LIMITATION. ALL INFORMATION ENTERED — INCLUDING YOUR NAME, ROLE/POSITION, AND TELEPHONE NUMBER — MUST BE TREATED AS PUBLICLY VISIBLE AT ALL TIMES, TO ANY PERSON, WITHOUT RESTRICTION. THE COMPANY MAKES NO GUARANTEE OF CONFIDENTIALITY, PRIVACY, OR SECURITY FOR ANY INFORMATION SUBMITTED THROUGH THE SERVICES.
When you join a channel, you may be asked to provide personal information including your name, role/position, and telephone number. By providing this information you expressly consent to the following:
(a) Public Visibility. Your name, role, and phone number (if provided) will be displayed to all current participants on the same channel in real time. This information is shared openly to facilitate production communication and crew coordination. You must assume that any information you enter will be seen by anyone with access to the channel URL, including individuals you have not specifically invited, and potentially the general public.
(b) Disconnection Records. If you disconnect from a channel (whether voluntarily or due to a technical failure), your name, role, and phone number will continue to be visible to remaining participants for the duration of the active session. This is intended to allow crew members to contact you by telephone if you become unreachable through the Services.
(c) URL Parameters and Sharing. Your name, role, phone number, and channel name may be included in the page URL as query parameters for the purpose of session sharing and bookmarking. Anyone who receives, intercepts, or accesses this URL — by any means — will be able to see your personal information. You are solely responsible for managing who has access to any URL you share. The Company accepts no responsibility whatsoever for any disclosure resulting from URL sharing, forwarding, interception, browser history access, or any other means of URL exposure.
(d) No Encryption of Display Data. Information displayed within channels (including names and phone numbers) is transmitted through third-party communication infrastructure and is not end-to-end encrypted by the Company. You acknowledge that this information may be visible to the infrastructure provider, network operators, internet service providers, and any intermediaries.
(e) Voluntary Disclosure. Providing your phone number and other personal details is entirely voluntary. If you do not wish your information to be visible to other participants or the public, do not enter it. The Company assumes no liability whatsoever for any consequences arising from your voluntary disclosure of personal information.
(f) Third-Party Redistribution. The Company has no control over and accepts no responsibility for any recording, screenshot, copying, scraping, archiving, or redistribution of your personal information by other participants or any third parties. Once information is shared on a channel, it may be captured and disseminated by others without your further consent, and the Company bears no liability for such actions.
4. DATA RETENTION AND PRIVACY
Session data (including participant logs with names, roles, phone numbers, and join/leave timestamps) may be stored locally in your browser's storage for the purpose of maintaining session continuity. This data is not intentionally transmitted to or stored on Company servers. Clearing your browser data will delete this information. However, the Company makes no guarantees regarding what data may be transiently processed or logged by third-party infrastructure.
The Company does not intentionally sell, rent, or otherwise distribute your personal information to third parties. However, the Company cannot and does not guarantee the privacy of information you voluntarily share with other channel participants, as those individuals may record, screenshot, or redistribute that information at their own discretion and without the Company's knowledge or consent.
5. COOKIES AND LOCAL STORAGE
The Services use browser local storage and cookies to store your device preferences (microphone, speaker), session data, and consent records. These are stored locally on your device and are not intentionally transmitted to Company servers. By accepting cookies and using the Services, you consent to this local data storage. You may clear this data at any time through your browser settings, which may affect your experience with the Services.
6. PUBLIC CHANNELS AND UNENCRYPTED COMMUNICATIONS
ALL CHANNELS (ROOMS) ON THE SERVICES ARE PUBLIC AND UNENCRYPTED. ANY PERSON WHO KNOWS OR DISCOVERS THE CHANNEL NAME MAY JOIN AND LISTEN TO OR PARTICIPATE IN COMMUNICATIONS ON THAT CHANNEL WITHOUT RESTRICTION.
Audio communications transmitted through the Services are not end-to-end encrypted and may be accessible to the infrastructure provider, network operators, internet service providers, and any intermediaries. The Company makes no representations whatsoever regarding the privacy, security, or confidentiality of any communications conducted through the Services. You must assume that all communications on any channel may be heard by anyone, including individuals you have not specifically invited.
7. "AS IS" AND "WHERE IS" DISCLAIMER
THE SERVICES ARE PROVIDED ON AN "AS IS," "WHERE IS," AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, OR UNINTERRUPTED SERVICE.
THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. THE COMPANY DOES NOT WARRANT THAT AUDIO, VIDEO, OR DATA TRANSMISSIONS WILL BE DELIVERED ACCURATELY OR AT ALL. YOUR USE OF THE SERVICES IS AT YOUR SOLE AND ABSOLUTE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE COMPANY SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; DAMAGES ARISING FROM THE DISCLOSURE, INTERCEPTION, OR MISUSE OF PERSONAL INFORMATION; DAMAGES FROM SERVICE INTERRUPTIONS, FAILURES, OR OUTAGES; DAMAGES FROM UNAUTHORIZED ACCESS TO COMMUNICATIONS; OR ANY OTHER PECUNIARY OR NON-PECUNIARY LOSS, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE SERVICES ARE PROVIDED FREE OF CHARGE. YOU ACKNOWLEDGE THAT THE COMPANY RECEIVES NO COMPENSATION FOR THE SERVICES AND THAT THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL TERM OF THESE TERMS, WITHOUT WHICH THE COMPANY WOULD NOT PROVIDE THE SERVICES.
THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED ZERO DOLLARS (CAD $0.00).
9. INDEMNIFICATION
You agree to fully and unconditionally indemnify, defend, and hold harmless the Company and its directors, officers, employees, agents, contractors, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to: (a) your use of or inability to use the Services; (b) your violation of these Terms or any applicable law, regulation, or third-party rights; (c) any content, data, or information you submit, transmit, or make available through the Services; (d) any dispute between you and any other user or participant; (e) any claim by a third party arising from your use or disclosure of personal information shared through the Services; (f) your negligence, wilful misconduct, or breach of any duty; or (g) any other matter relating to your access to or use of the Services.
This indemnification obligation shall survive the termination of these Terms and your use of the Services. You agree that the Indemnified Parties shall have the right to select their own legal counsel at your expense. You shall not settle any claim without the prior written consent of the Company.
10. ASSUMPTION OF RISK
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK. YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO: RISKS OF DATA LOSS, PRIVACY BREACHES, UNAUTHORIZED ACCESS TO YOUR COMMUNICATIONS, INTERCEPTION OF PERSONAL INFORMATION, SERVICE FAILURES DURING CRITICAL PRODUCTION OPERATIONS, AND ANY HARM ARISING FROM RELIANCE ON THE SERVICES. THE COMPANY SHALL NOT BE RESPONSIBLE FOR ANY CONSEQUENCES RESULTING FROM YOUR DECISION TO USE A FREE BETA SERVICE FOR ANY PURPOSE, INCLUDING PROFESSIONAL OR COMMERCIAL USE.
11. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles, including the Personal Information Protection and Electronic Documents Act (PIPEDA) where applicable. The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Province of Ontario, located in the City of Toronto, for any disputes arising under or in connection with these Terms.
12. DISPUTE RESOLUTION AND MEDIATION
Prior to initiating any legal proceedings, the parties agree to attempt informal resolution for a period of thirty (30) days from the date of written notice of the dispute. If the dispute remains unresolved, either party may initiate mandatory mediation administered by a mutually agreed mediator or, failing agreement, appointed by the ADR Institute of Ontario. Mediation shall take place in Toronto, Ontario, be conducted in English, and be completed within sixty (60) days. All mediation proceedings and related communications shall be strictly confidential.
Any claim arising under these Terms must be commenced within one (1) year after the cause of action first accrues, or it shall be permanently and irrevocably barred. You agree to waive any right to participate in a class action or class-wide arbitration.
13. GENERAL PROVISIONS
These Terms constitute the entire agreement between you and the Company with respect to the Services and supersede all prior or contemporaneous communications, proposals, or agreements, whether oral or written. The Company reserves the right to modify these Terms at any time without prior notice; continued use of the Services after any modification constitutes your acceptance of the revised Terms. If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed, and the remaining provisions shall continue in full force and effect. You may not assign or transfer these Terms or any rights hereunder without the prior written consent of the Company. The Company may freely assign these Terms. The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Headings are for convenience only and shall not affect interpretation.
